1. Agreement

These Terms of Service govern your use of the Prolo platform and associated services ("the Service") operated by Prolo Ltd ("the Company," "we," "us," or "our") (53 King Street, Manchester M1 2WD, incorporated in England and Wales). By registering for an account or using the Service you accept these Terms in full.

The Service is a procurement coordination platform. It enables UK building contractors to submit material requests to their preferred suppliers, receive and compare prices, place orders, and track delivery schedules from a single interface. Suppliers listed on the platform receive quote requests through the Service and submit responses through it.

Nothing in these Terms limits your statutory rights as a consumer under the Consumer Rights Act 2015 or other applicable UK consumer-protection legislation.

2. Eligibility and Account Registration

  • You must be at least 18 years of age to register for an account.
  • If you are registering on behalf of a business, you represent that you have authority to bind that business to these Terms.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • Notify us immediately at [email protected] if you suspect unauthorised access to your account.

3. Use of the Service

  • You agree to use the Service only for legitimate procurement activities relating to UK building materials and construction supply.
  • You must not use the Service unlawfully, to interfere with its operation, or to attempt unauthorised access to any part of the platform or its infrastructure.
  • You must not submit false, misleading, or inflated procurement requests or supplier responses.
  • You may not copy, scrape, or reverse-engineer the Service or its underlying data structures except as expressly permitted by law (including under the Copyright, Designs and Patents Act 1988).
  • Suppliers must not contact contractors sourced through the platform for purposes unrelated to the specific procurement request that introduced them.

4. Subscription Plans, Pricing, and Payment

The Service is available on monthly or annual subscription plans, as described on the Prolo pricing page. All prices are stated in pounds sterling (GBP) and are exclusive of VAT unless otherwise stated. VAT at the applicable UK rate will be applied at checkout.

Subscription fees are charged in advance. Monthly subscriptions renew on the same calendar date each month; annual subscriptions renew on the same date each year. We will notify you before renewal if our pricing changes.

Supplier network membership is at no charge to suppliers during the current early-access period. We will provide advance notice if this changes.

5. Right to Cancel (Consumer Contracts Regulations 2013)

Where you enter into a paid distance contract with the Company as a consumer, you have a 14-day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Email [email protected] with a clear statement of cancellation; we will refund any amounts paid for the unused portion of your subscription within 14 days of receiving your cancellation notice. This right is in addition to, and does not affect, any other rights you may have under applicable law.

6. Intellectual Property

The Service, including its software, algorithms, design, text, and compiled supplier and pricing data, is owned by the Company or its licensors and is protected under UK and international intellectual-property law. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended procurement purpose during the term of your subscription.

Your own procurement data, including your material specifications and order history, remains yours. The Company's licence to process that data for service delivery is described in the Privacy Policy.

7. Supplier and Contractor Relationship

The Company is a coordinator, not a principal. Prolo does not buy or sell materials. Each contract for the supply of materials is formed directly between the contractor and the supplier who accepts the order. The Company is not a party to that supply contract and accepts no liability for the quality, availability, price, or delivery of any materials supplied.

Contractors remain responsible for verifying that the specifications they submit are accurate and that any supplier they select through the platform is appropriate for their project requirements.

8. Disclaimers and Statutory Rights

The Service is provided "as is" and "as available." We make reasonable efforts to keep the platform operational and accurate, but we do not warrant that the Service will be uninterrupted, error-free, or that supplier responses will be complete or timely.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under the laws of England and Wales. Your statutory rights as a consumer under the Consumer Rights Act 2015 (including rights to services carried out with reasonable care and skill) are not affected.

9. Limitation of Liability

To the extent permitted by law, our total aggregate liability to you for any claim arising from or related to the Service in any 12-month period will not exceed the total subscription fees you paid to us during that period, or GBP 100, whichever is greater. This cap does not apply to the categories of liability that cannot be excluded set out in section 8 above.

10. Termination

You may cancel your subscription at any time through your account settings or by contacting us. The cancellation will take effect at the end of the current billing period.

We may suspend or terminate your access to the Service immediately if you breach these Terms in a material way, particularly where the breach relates to unauthorised use, misuse of supplier contact information, or conduct harmful to others on the platform. We will give you notice and an opportunity to remedy a breach where it is reasonable to do so.

Sections that by their nature should survive termination of these Terms will survive, including sections 6, 7, 8, 9, and 11.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales have non-exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service. If you are a consumer resident in another part of the United Kingdom, you retain the right to bring proceedings in the courts of your place of residence.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to registered users by email at least 14 days before they take effect, with a new "Last updated" date posted here. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
